- Authorization. Customer (or authorized representative) authorizes PureFlow Water Solutions ("Contractor") to perform mitigation services described verbally or in writing, including moisture inspection, water extraction, equipment deployment, controlled demolition, cleaning, and related tasks.
- Scope. Scope may evolve as concealed conditions are uncovered. Any material changes will be communicated; additional work may require written approval or change orders.
- Hazardous Materials. Unless expressly included, testing/abatement of asbestos, lead, mold, or other hazardous materials is excluded. If suspected, Contractor may suspend work until appropriate procedures are established.
- Pricing & Billing. Pricing is based on Contractor’s current rate schedule or applicable program pricing (e.g., Xactimate). Time & materials charges apply where unit pricing is not feasible. Minimum charges may apply. After-hours/holiday work is billed at premium rates.
- Insurance. Customer remains responsible for all charges regardless of insurance reimbursement. Contractor may assist with documentation but is not responsible for coverage determinations or insurer delays.
- Third-Party Billing. Upon request, Contractor may invoice an insurer or designated representative directly; however, Customer remains ultimately responsible for payment of any unpaid balances.
- Deposits & Payment Terms. Deposits may be required before mobilization. Unless otherwise stated, invoices are due upon receipt. Interest may accrue on overdue balances in accordance with applicable law.
- Site Access & Utilities. Customer shall provide safe access, parking, and necessary utilities (electricity, water, drainage). Customer is responsible for securing pets and valuable items.
- Remote Monitoring & Data. Customer consents to deployment of sensors/hubs to collect environmental data (e.g., temperature, RH, GPP). Data is used to manage drying and may be shared with project stakeholders for documentation.
- Equipment Responsibility. Customer agrees not to adjust, move, or power off equipment without authorization. Customer is responsible for loss/damage due to theft, misuse, or tampering.
- Contents. Content manipulation includes moving, packing, and staging items. High-value/fragile items must be disclosed in writing. Exclusions may apply to pre-existing damage or inherent vice.
- Moisture Standards. Dry goals are based on industry guidelines and unaffected comparison materials. Rebound checks may be performed to confirm results.
- Microbial Conditions. Mitigation services are not a guarantee against microbial growth. If microbial remediation is required, separate protocols and pricing will apply.
- Warranties. Contractor warrants services will be performed in a workmanlike manner consistent with industry standards. No other warranties, express or implied, are provided.
- Limitations of Liability. To the fullest extent permitted by law, Contractor’s liability is limited to the lesser of: (a) direct damages proven; or (b) the amount paid for the specific services giving rise to the claim. No liability for indirect, incidental, or consequential damages.
- Photos & Documentation. Customer authorizes photo/video documentation of affected areas and equipment for project records and stakeholder reporting.
- Delays & Force Majeure. Contractor is not liable for delays due to events beyond its control (e.g., severe weather, supply shortages, utility outages).
- Right to Stop Work. Contractor may suspend work for safety concerns, non-payment, or discovery of hazardous materials pending further instruction.
- Ownership & Liens. Materials/equipment remain Contractor’s property until paid. Contractor may register a lien for unpaid balances pursuant to applicable legislation.
- Governing Law. These Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada.
- Dispute Resolution. Parties will attempt good-faith resolution; failing that, disputes shall be resolved in the courts of Ontario unless otherwise agreed in writing.
